Revari Terms of Service
Last Modified: October 25, 2026
These Terms of Service (the “Terms”) are an agreement between Revari LLC, which offers the Service under the names Revari and Revari OS (“Revari,” “we,” “us,” or “our”), and the person or organization that accesses or uses our websites, applications, APIs, and related services (collectively, the “Service”). In these Terms, “you” means that person or organization. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and “you” refers to that organization.
By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which explains how we handle personal data. If you do not agree, do not use the Service.
If your organization has signed an order form, master subscription agreement, or similar written agreement with Revari (a “Customer Agreement”), that Customer Agreement governs where it conflicts with these Terms. Otherwise, these Terms are the customer agreement referred to in our Privacy Policy.
1. The Service
1.1 What Revari Provides
Revari is a revenue platform for sales teams and the partners who work with them. Depending on your plan and the features your workspace enables, the Service includes tools to manage accounts, contacts, deals, and quotes; run prospecting, email sequences, and marketing campaigns; plan, schedule, and publish social media posts to connected accounts; and use in-product AI assistance.
1.2 Changes to Features
We may add, change, or retire features. If we retire a feature that is central to a paid plan, we will notify workspace administrators in advance by email or in the Service. That notice is your remedy for feature changes, except as your Customer Agreement provides otherwise.
1.3 Preview Features and No-Charge Access
We may offer preview or early-access features, and we may give some workspaces access at no charge. Both are provided as is, may be limited, changed, suspended, or ended at any time, and may be subject to additional terms we show you.
1.4 Support and Service Levels
We provide support as described for your plan. Any uptime, availability, or response-time commitments are only those set out in your Customer Agreement.
1.5 Service Providers
We use subcontractors and service providers, including the subprocessors described in our Privacy Policy, to help provide the Service. We remain responsible for their performance under these Terms.
2. Accounts and Access
2.1 Eligibility and Business Use
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is offered for business use and not to consumers.
2.2 Your Account
You are responsible for the information in your account, for keeping your sign-in credentials and multi-factor authentication methods secure, and for all activity that occurs under your account. Tell us promptly at security@revarios.com if you believe your account has been accessed without permission.
2.3 Seats
Seats are for named individuals. Do not share sign-in credentials. A seat may be reassigned to a new user who replaces someone who no longer needs access.
2.4 Workspaces and Administrators
The Service is organized into workspaces. A workspace administrator may invite users, assign roles and seats, configure features and integrations, and export, suspend, or remove access to workspace data. If you join a workspace run by your employer or another organization, that organization controls the workspace and its data, and its administrators can see and manage your activity in it.
2.5 Partner-Managed Workspaces
Some workspaces are created or managed by a Revari partner for its client. The partner’s administrators may access and manage that workspace and its data as described in Section 2.4.
If you are a partner, you confirm that you are authorized to set up and manage each client workspace, that each client has agreed to use the Service under these Terms (or terms at least as protective of Revari), and that you will obtain any consents your clients need for you and Revari to process their data. You are responsible for your clients’ use of the Service through workspaces you manage, as if it were your own use.
Any commercial arrangement between a client and a partner, including pricing, services, and support the partner provides, is between them. Revari is not a party to it and is not responsible for a partner’s own services or commitments. As between a partner and its client, the client’s Customer Data belongs to the client unless they agree otherwise. If a partner stops managing a client workspace, Revari may suspend it, or work with the client to export its data or continue the workspace directly.
2.6 Support Access
Our support staff may access your workspace to provide support, investigate issues, or keep the Service secure. That access is logged.
3. Your Content and Customer Data
3.1 Ownership
“Customer Data” means the information you or your users submit to or generate in the Service, such as contacts, accounts, deals, quotes, notes, messages, files, social media content, and AI-assisted drafts. As between you and Revari, you own your Customer Data.
3.2 Our License to Operate the Service
You grant Revari a limited, worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Data as needed to provide, secure, support, and improve the Service, and as described in our Privacy Policy. When you direct the Service to publish or send content to a connected service (for example, a social media post or an email), you authorize us to transmit that content to that service on your behalf. We may also use usage data, and data that is aggregated or de-identified so that it no longer identifies you or any person, to operate and improve the Service.
3.3 Your Responsibilities
You are responsible for your Customer Data and for having all rights, permissions, and consents needed to collect it, upload it, and use it with the Service, including for any email, messaging, or social media content you send or publish through it. Where Revari processes personal data on your behalf, the data processing terms in your Customer Agreement (or a Data Processing Agreement, when executed) apply.
3.4 Sensitive Data
Unless your Customer Agreement says otherwise, do not submit protected health information, full payment card numbers, government-issued identification numbers of individuals, or other data that the law gives special protection. Business tax identifiers (such as an employer identification number) are fine.
3.5 Security
We maintain administrative, technical, and organizational safeguards designed to protect Customer Data, as described in our Privacy Policy.
3.6 Export
Workspace administrators can export workspace data using the export tools in the Service while the workspace is active, and for 30 days after it ends as described in Section 9.3.
4. Acceptable Use
4.1 Prohibited Uses
You agree not to, and not to allow anyone else to:
- use the Service in violation of any applicable law or regulation, including laws on privacy, data protection, consumer protection, and electronic marketing (such as CAN-SPAM, the TCPA, and CASL);
- send unsolicited or deceptive commercial messages, or contact people who have asked not to be contacted;
- upload or publish content that is unlawful, infringing, defamatory, harassing, hateful, sexually explicit, or that violates the rules of a connected service;
- impersonate any person or organization, or misrepresent your affiliation with one;
- upload malware, or interfere with, overload, or disrupt the Service or the networks behind it;
- attempt to gain unauthorized access to the Service, other accounts, or other workspaces, or probe or test the Service’s security without our prior written permission;
- copy, resell, or sublicense the Service, or reverse engineer it except where the law expressly allows; or
- scrape the Service or use it to build a competing product.
We welcome good-faith security reports at security@revarios.com. We do not offer rewards for reports unless we say so in a published program.
4.2 Email and Messaging
When you send email or other messages through the Service, you must honor opt-out requests, include the sender identification the law requires, and send only from domains you control. We may require you to verify a sending domain, and we may suppress messages to addresses that have bounced, complained, or unsubscribed.
4.3 Usage Limits
Plans include limits, for example on seats, messages sent, AI usage, or API calls. We may slow or pause activity that exceeds those limits or that threatens the health of the Service, and we will notify workspace administrators when we do.
4.4 APIs and Credentials
If you use our APIs or create API keys, service credentials, or webhooks, you are responsible for their use, must keep keys secret, and may not exceed documented rate limits. API access is part of the Service and subject to these Terms.
4.5 Enforcement
We may remove content or suspend access that we reasonably believe violates this Section, as described in Section 9.
5. Connected Services
5.1 Connecting Accounts
The Service lets you connect third-party services, such as email and calendar providers, e-signature providers, accounting tools, other CRM or prospecting tools, and social media platforms (for example, TikTok, LinkedIn, Instagram, Facebook, YouTube, and Threads). When you connect one, you authorize Revari to access that service on your behalf, within the permissions you grant, to provide the features you use.
5.2 Social Media Publishing
When you connect a social media account, Revari uses that connection to publish the posts and videos you create, schedule, or approve in the Service. We publish only the content you direct us to publish, and only at the times you choose. You remain the publisher of that content and are responsible for following each platform’s own terms and community guidelines, including the TikTok Terms of Service and Community Guidelines when you publish to TikTok. Where a platform requires you to label content that was generated or edited with AI, you are responsible for doing so.
Revari is not affiliated with or endorsed by TikTok or any other connected platform.
5.3 Your Control
You can disconnect a connected service at any time in the Service, or revoke Revari’s access in that service’s own app-permission settings. When you disconnect, we delete the stored access token and stop accessing the account. How we handle the remaining data from that connection is described in our Privacy Policy. Content already published stays on the platform until you remove it there.
5.4 Third-Party Terms
Connected services are provided by third parties under their own terms and privacy policies. Revari does not control them and is not responsible for their availability, content, or changes they make to their features.
6. AI Features
Some features use artificial intelligence to draft, summarize, score, or suggest content (for example, Hey Revari). AI output can be incomplete or inaccurate, so review it before you rely on it, send it, or publish it. You are responsible for how you use AI output. AI output is not legal, tax, or financial advice. Our use of data for AI features is described in our Privacy Policy.
7. Plans, Fees, and Payment
7.1 Plans
The features, limits, and seats available to your workspace depend on the plan and add-ons you purchase. Plan details are shown in the Service or in your Customer Agreement.
7.2 Fees and Billing
You agree to pay the fees for the plan and add-ons you select. Unless your Customer Agreement says otherwise, fees are in U.S. dollars, billed in advance for each billing period, and non-refundable except where required by law. Seats or add-ons added during a billing period are billed pro rata for the rest of that period and then renew with the plan. You authorize us to charge the payment method on file for each billing period until you cancel. Payments are processed by our third-party payment processors or, where you buy through AWS Marketplace, by Amazon Web Services under its terms.
7.3 Automatic Renewal and Cancellation
Your subscription renews automatically at the end of each billing period for another period of the same length (for example, monthly or yearly), at the then-current price for your plan, unless you cancel before the renewal date. A workspace administrator can cancel at any time in the Service or by contacting us; cancellation takes effect at the end of the current billing period, and you keep access until then. The plan, price, billing period, and renewal date are shown when you subscribe and in the Service.
7.4 Taxes
Fees do not include taxes. You are responsible for any sales, use, value-added, or similar taxes on your purchase, other than taxes on Revari’s income.
7.5 Price Changes and Late Payment
We may change our prices for future billing periods with at least 30 days’ notice to the workspace administrator. If you do not agree to a change, you may cancel before it takes effect. If a payment is overdue, we may limit access to the workspace until the balance is paid, after notifying the workspace administrator.
8. Intellectual Property
8.1 Revari’s Rights
The Service, including its software, design, and documentation, and the Revari, Revari OS, and Hey Revari names and logos, belong to Revari and its affiliates and licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your business purposes during your subscription, including, if you are a Revari partner, to manage workspaces for the clients you serve. We reserve all rights not expressly granted.
8.2 Feedback
If you send us suggestions or feedback, we may use them to improve the Service without any obligation to you.
8.3 Copyright Complaints
If you believe content in the Service infringes your copyright, send a notice that meets the requirements of 17 U.S.C. § 512(c)(3) to our designated agent at legal@revarios.com or the postal address in Section 15. We may remove the content, and we may end the access of users who repeatedly infringe.
8.4 Customer Name and Logo
We may identify you as a customer by name and logo in customer lists and marketing materials. If you prefer that we not, tell us at legal@revarios.com.
9. Suspension and Termination
9.1 By You
You may stop using the Service at any time. Cancelling a subscription works as described in Section 7.3.
9.2 By Us
We may suspend or terminate access to the Service if you materially breach these Terms and do not cure the breach within 30 days of notice, if fees remain unpaid 10 days after notice, or immediately where needed to prevent harm to the Service, other customers, or third parties, or to comply with law. Where practical, we will tell you before suspending access and will promptly restore it once the issue is resolved.
9.3 After Termination
When a subscription ends, your right to use the Service ends. For 30 days afterward, a workspace administrator may export the workspace’s Customer Data using the tools in the Service or by asking us. After that period, we have no obligation to keep it and may delete it, as described in our Privacy Policy; copies may remain in routine backups for a limited time. Sections 3.1, 4, 7 (for fees owed), 8, and 10 through 14 continue to apply after termination.
10. Confidentiality
Each party will protect the other’s non-public information that is marked confidential or that a reasonable person would understand to be confidential, using at least reasonable care, and use it only to perform under these Terms. Customer Data is your confidential information. A party may share confidential information with its service providers and advisors who are bound to protect it. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from someone else. A party may disclose confidential information where required by law, after giving notice where legally permitted. These obligations last for three years after these Terms end, and for as long as information remains a trade secret.
11. Disclaimers
Except as expressly stated in a Customer Agreement, the Service is provided “as is” and “as available.” To the fullest extent permitted by law, Revari disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and does not warrant that the Service will be uninterrupted or error-free. Revari is not responsible for connected services, for content you send or publish, or for decisions you make based on information or AI output in the Service, including forecasts, scores, and quotes.
12. Limitation of Liability
To the fullest extent permitted by law:
- neither party, nor Revari’s affiliates, officers, employees, or agents, will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility of those damages; and
- each party’s total liability for all claims arising out of or relating to these Terms or the Service, taken together, will not exceed the greater of (a) the amounts you paid to Revari for the Service in the 12 months before the event giving rise to the first claim and (b) US $100. Revari’s affiliates, officers, employees, and agents share this single limit with Revari.
These limits apply whatever the legal theory (contract, tort, including negligence, or otherwise), even if a remedy fails of its essential purpose. They do not apply to your payment obligations, to your indemnification obligations, to your breach of Section 3.3, 3.4, 4, 8, or 10, or to liability that cannot be limited by law. The fees reflect this allocation of risk.
13. Indemnification
You will defend and indemnify Revari and its affiliates, officers, employees, and agents against third-party claims arising from your Customer Data, your content published or sent through the Service, your use of the Service in violation of these Terms or applicable law, or, if you are a partner, your clients’ use of the Service through workspaces you manage. You will pay the resulting damages, fines, and reasonable costs, including attorneys’ fees, finally awarded or agreed in settlement. Revari will promptly notify you of the claim and reasonably cooperate, and you may control its defense, provided you do not settle a claim in a way that admits fault by or imposes obligations on Revari without its written consent. Revari may take part in the defense with its own counsel at its own expense.
14. General
14.1 Changes to These Terms
We may update these Terms from time to time. The “Last Modified” date at the top shows the latest revision. If a change is material, we will give notice in the Service or by email at least 30 days before it takes effect. Changes required by law, or that add features or do not reduce your rights, may take effect immediately. Continuing to use the Service after a change takes effect means you accept the updated Terms.
14.2 Informal Resolution
Before starting a lawsuit, a party must first send the other a written notice describing the dispute, and the parties will try in good faith to resolve it for 30 days. This does not prevent either party from seeking an injunction under Section 14.8 or from acting to stop a claim from expiring.
14.3 Governing Law, Venue, and Jury Waiver
These Terms are governed by the laws of the State of Arkansas and applicable U.S. federal law, without regard to conflict-of-law principles. The state and federal courts located in Pulaski County, Arkansas, have exclusive jurisdiction over any dispute arising from these Terms or the Service, and each party consents to that jurisdiction. To the extent permitted by law, each party waives any right to a jury trial in any such dispute.
14.4 Individual Claims Only
To the extent permitted by law, each party may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.
14.5 Time Limit for Claims
To the extent the law allows, any claim arising from these Terms or the Service must be brought within one year after it arises.
14.6 Notices and Electronic Communications
We send notices to workspace administrators’ email addresses or in the Service. Send notices to us at legal@revarios.com and the postal address in Section 15. You agree to receive agreements, notices, and invoices electronically.
14.7 Export Controls and International Use
You confirm that you are not located in, or a national of, a country subject to a U.S. embargo, and that you are not on a U.S. government list of restricted parties. You will comply with U.S. export laws when using the Service. The Service is operated from the United States; if you use it from elsewhere, you are responsible for complying with local law.
14.8 Other Terms
You may not assign these Terms without our written consent, except to a successor of your business that is not a competitor of Revari; we may assign them in connection with a merger, acquisition, or sale of assets. The parties are independent contractors. These Terms do not create rights for anyone else, except that Revari’s affiliates may enforce the sections that protect them. Either party may seek an injunction to stop a breach of Section 4, 8, or 10. Neither party is liable for delays caused by events beyond its reasonable control. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with any Customer Agreement and the documents they reference, are the entire agreement between you and Revari about the Service.
